• Maintain a valid Federal Employer Identification Number (EIN).
• Be incorporated or otherwise legally organized under the laws of your state or country of operation.
• Carry your own liability and business insurance with adequate coverage.
• Maintain a valid state resale license for tax-exempt purchases where applicable.
• AFW reserves the right to request proof of compliance with these eligibility requirements at any time as well as expand requirement eligibility as needed.

Account Responsibilities

• Accurate Information: Customers are required to provide accurate and up-to-date information during registration and must update their account promptly if any information changes.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify AFW immediately if you suspect unauthorized access or activity.

Payment and Taxes

• Pricing: All prices listed on the portal are subject to change without prior notice. Prices are quoted in USD. Website pricing may be inaccurate, and AFW reserves the right to correct errors and decline orders based on incorrect pricing, even after an order has been placed.
• Taxes: Customers are responsible for paying all applicable taxes, duties, and fees related to their purchases unless a valid resale certificate is provided at the time of purchase. AFW will not be held responsible for determining or collecting taxes on behalf of the Customer.

Orders and Returns

• Order Acceptance: All orders are subject to AFW’s approval. We reserve the right to cancel or refuse any order at our discretion.

Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless AFW, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with:

Our total liability under these Terms shall not exceed the amount you paid for the specific product giving rise to the claim.

AFW reserves the right to terminate your account or access to the portal at any time for any reason, including but not limited to non-compliance with these Terms or suspected fraudulent activity.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in San Diego, California, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction.
